This Licensing Agreement ("Agreement") is entered into between [Canna-Coloring LLC] ("Licensor") and the purchaser ("Licensee") of the Canna-Cats Adult Coloring Book PDF Version (the "Product").
1. Grant of License: Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Product for personal, non-commercial purposes only. This license permits Licensee to download, print, and reproduce the contents of the Product for coloring and personal enjoyment.
2. Restrictions: a. Licensee shall not reproduce, distribute, sell, sublicense, or otherwise transfer or exploit the Product, in whole or in part, for any commercial purpose without prior written consent from Licensor. b. Licensee shall not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Product. c. Licensee shall not remove, alter, or obscure any copyright notices, trademarks, or other proprietary rights notices included in the Product.
3. Ownership: Licensor retains all right, title, and interest in and to the Product, including all copyrights, trademarks, and other intellectual property rights. This Agreement does not transfer ownership of the Product to Licensee.
4. Term and Termination: This Agreement shall remain in effect indefinitely, unless terminated by either party. Licensor may terminate this Agreement immediately upon written notice to Licensee in the event of any breach of the terms herein. Upon termination, Licensee shall cease all use of the Product and destroy any copies in their possession.
5. Warranty Disclaimer: THE PRODUCT IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Limitation of Liability: IN NO EVENT SHALL LICENSOR BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE PRODUCT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
8. Entire Agreement: This Agreement constitutes the entire agreement between Licensor and Licensee regarding the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
